Terms & Conditions

1. Account & Password Responsibility

If you use Medrayder, you are responsible for keeping your account and password confidential and for restricting access to your device to prevent unauthorised use of your account. You accept responsibility for all activity that occurs under your account or password, including any staff accounts you create. Please take reasonable steps to keep your password secure, and tell us immediately if you believe it has become known to anyone else or is being used without your permission. Keep the details you register with (business name, DL number, GST number, address, contact details) accurate and up to date, and let us know promptly if anything changes.

2. Confidentiality of Your Information

Personal and business information you provide while using Medrayder is treated as confidential and handled in line with our Privacy Notice and applicable law. It is used to operate the platform — including sharing the relevant order, contact, and business details between a retailer and the distributor(s) they transact with — and is not sold to third parties. If you object to your information being used this way, please do not use the platform.

3. Platform Availability

We aim to keep Medrayder available and error-free at all times, but this cannot be guaranteed given the nature of the internet and software systems generally. Access may occasionally be suspended or restricted for maintenance, repairs, or the introduction of new features, sometimes without advance notice. We try to keep any such interruption as brief and infrequent as reasonably possible.

4. The Platform’s Role

Medrayder is a marketplace and order-management platform that connects pharmaceutical distributors and retailers. Medrayder is not a party to the underlying sale of goods between a distributor and a retailer — that transaction, including passing of title, product quality, and regulatory compliance, is solely between the distributor and the retailer. Medrayder facilitates order placement, invoicing, and (where applicable) financing, but does not itself buy, sell, or take possession of any pharmaceutical products.

5. Orders & Fulfillment

Placing an order through Medrayder is an offer to purchase, which the receiving distributor may accept or reject. Delivery timelines, product quality, and fulfillment are the distributor’s responsibility. Delivery is confirmed using a one-time password (OTP) sent to the retailer; entering it confirms receipt of the goods and triggers invoice generation.

6. Pricing, Invoicing & Payment

Prices, GST rates, and schemes shown on the platform are set independently by each distributor and may change at any time before an order is confirmed. Invoices are generated automatically from the underlying order and remain the distributor’s responsibility to issue correctly. Payment terms (credit period, due dates) are as agreed between the distributor and retailer, subject to any financing arrangement below.

7. Return Policy

As Medrayder is a software platform connecting distributors and retailers rather than a seller of goods itself, product returns are not handled through Medrayder — they are a matter to be arranged directly between the retailer and the distributor, subject to applicable pharmaceutical regulations on returned stock.

8. Cancellation Policy

An order may be cancelled by contacting the distributor directly before it is dispatched, subject to their own policy. To cancel your Medrayder account or any paid subscription, contact us by phone or email (details below) and we will process it promptly.

9. Refund Policy

Where Medrayder charges a subscription or platform fee, you may cancel at any time and stop future billing. Where a refund is due, we aim to process it within 30 working days. Refunds relating to the goods themselves (as opposed to platform fees) are a matter between the retailer and distributor, as described in the Return Policy above.

10. Financing Terms

Where a retailer requests buyer credit, or a distributor requests early-payment financing, through the platform, the disbursement percentage and fee shown at the time of the request apply. Financing is subject to eligibility criteria that may change, and any outstanding financed amount remains a legal obligation of the party who requested it. Medrayder or its financing partners may decline a financing request at their discretion.

11. Connection & Approval

A distributor may require retailers to send a connection request and receive approval before placing orders. Approving or rejecting such a request is at the distributor’s sole discretion; Medrayder is not responsible for that decision.

12. Intellectual Property

The software, design, trademarks, and content that make up Medrayder belong to Medrayder or its licensors. You may not copy, reverse-engineer, or redistribute any part of the platform without written permission.

13. Limitation of Liability

To the maximum extent permitted by law, Medrayder is not liable for indirect, incidental, or consequential damages arising from use of the platform — including disputes between distributors and retailers, product quality issues, delivery delays, or financing decisions. The platform is provided "as is" without warranties of any kind.

14. Indemnification

You agree to indemnify and hold Medrayder harmless from claims, losses, or damages arising from your breach of these Terms, your violation of applicable law, or your use of the platform to conduct business with another party.

15. Termination

Medrayder may suspend or terminate an account that violates these Terms, provides false registration information, or engages in fraudulent activity. You may close your account at any time; outstanding orders, invoices, and financing obligations survive termination.

16. Changes to These Terms

We may update these Terms from time to time. Continuing to use Medrayder after a change takes effect means you accept the revised Terms. We’ll notify you of material changes through the platform.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms or use of the platform are subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana.
